These Terms of Service ("Terms") are a legal agreement between you ("User", "you") and KoAjent, LLC ("KoAjent", "we", "us"). They govern your use of the KoAjent platform, website, mobile applications, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using KoAjent, you represent that you meet these requirements.

2. Account Registration

You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@koajent.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in unauthorized or harmful activity.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or professional licensing requirement
  • Infringe the intellectual property rights of any third party
  • Upload or transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Scrape, crawl, or data-mine the Service without express written permission
  • Use the Service to send spam, unsolicited commercial messages, or harassing communications
  • Misrepresent your identity or affiliation with any real estate license, board, or MLS
  • Circumvent, disable, or interfere with security features of the Service

4. Your Data and Content

You own your data. KoAjent does not claim ownership of any content you upload, import, or create on the platform. By uploading content, you grant KoAjent a limited, non-exclusive, royalty-free license to process and display that content solely to provide the Service to you.

You are responsible for the accuracy and legality of the data you enter, including client information, property data, and document content. You represent that you have the necessary rights to upload and use any content you provide.

We do not sell your data or use it to train externally-shared AI models.

5. Subscription and Billing

Paid plans are billed on a monthly or annual basis depending on the plan you select. Billing occurs at the start of each billing period. All payments are processed by Stripe, Inc.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued unless required by law.

We reserve the right to change pricing with 30 days' notice to your registered email address. Continued use after the effective date constitutes acceptance of the new pricing.

6. Free Trial

We may offer a free trial period for paid features. At the end of the trial, your account will revert to the Free plan unless you provide payment information and upgrade. We reserve the right to modify or end free trials at any time.

7. Intellectual Property

KoAjent and its licensors own all rights, title, and interest in the Service, including software, trademarks, and content created by us. Nothing in these Terms grants you a right to use our trademarks or brand assets without prior written consent.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

8. Third-Party Services

The Service integrates with third-party services (MLS providers, IDX feeds, payment processors, email providers). Your use of those services is subject to their own terms and privacy policies. KoAjent is not responsible for the practices or availability of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KoAjent does not warrant that the Service will be uninterrupted, error-free, or free from viruses. AI-generated content (including voice contract suggestions) is provided for assistance only and does not constitute legal advice. You are responsible for reviewing and verifying all content before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOAJENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless KoAjent and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately for violations of these Terms, suspected fraud, or unauthorized use. Upon termination, your right to use the Service ceases immediately. We will provide you a reasonable opportunity to export your data before account closure.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email to your registered address at least 14 days before the effective date. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
